AMD to Buy Fei-Fei Li's World Labs for $8.2 Billion in All-Stock Deal

AMD said Monday it has signed a definitive agreement to acquire World Labs, the San Francisco AI research lab founded by Stanford computer science professor Fei-Fei Li, in an all-stock deal valued at approximately $8.2 billion, according to a statement from AMD posted on its investor relations site.

AMD's second-largest acquisition on record, this deal trails only its roughly $50 billion purchase of Xilinx in 2022, according to CNBC. The deal is expected to close by the end of 2026, subject to regulatory approval, per the companies' joint statement.

What AMD Is Actually Buying

World Labs builds what the industry calls "world models": AI systems trained to understand and simulate physical, three-dimensional space rather than just text or images. AMD's own release describes the technology as generating, reconstructing, and simulating interactive 3D environments from text, image, and video inputs, with applications in robotics and simulation.

Li founded World Labs in 2024 after a career that includes building the ImageNet database, a foundational dataset that helped launch the modern computer vision field, and a stint leading AI research at Google. The startup's flagship product, Marble, generates 3D scenes from a handful of images and was demoed publicly alongside AMD CEO Lisa Su earlier this year, according to CNBC.

World Labs raised $1 billion in a funding round earlier this year, according to a report from Reuters carried by KSL News. AMD had already invested in the company and formed a training-and-inference partnership with it in 2025, according to Unite.ai, which cited a post from Li describing Su as an early investor.

The Terms and the Talent

Once the deal closes, Li joins AMD as executive vice president and chief scientist, reporting directly to Su. World Labs co-leaders Justin Johnson and Ben Mildenhall will continue running the research team inside AMD, according to Unite.ai.

"Building the compute platforms for the next generation of AI requires a deep understanding of how models are evolving," Su said in AMD's statement. "Fei-Fei and the World Labs team bring exceptional research leadership and model expertise."

Li framed the move as a scaling decision rather than an exit. "Advancing the next generation of AI technology requires close collaboration across model research, systems and compute," she said in the same release. In a separate post, she called Su a "great friend" and said the goal was to get "closer to the hardware."

Why AMD Wants It

AMD is chasing Nvidia, which already ships open-weight world models under its Cosmos platform, according to TechCrunch. AMD has so far only offered text- and video-based models publicly. Buying World Labs outright, rather than continuing a partnership, gives AMD in-house researchers who can tell its chip designers what future AI workloads, especially robotics and physical-AI systems, will actually require.

Morningstar noted AMD recently touched a $1 trillion valuation, underscoring how much cash-and-stock firepower the chipmaker now has to play with in an AI arms race that's reshaping the entire semiconductor sector.

The Bigger Pattern

This deal doesn't happen in a vacuum. OpenAI paid about $6.4 billion for Jony Ive's device startup io last year. Nvidia spent a combined $33 billion buying chipmaker Groq and open-source platform Hugging Face. Meta paid $14 billion for a minority stake in Scale AI to bring in founder Alexandr Wang, according to CNBC's reporting. Tech's biggest balance sheets are buying talent and research labs at valuations that would have looked insane five years ago, often for companies with little in the way of traditional revenue.

An $8.2 billion price tag, paid in stock, for a two-year-old research lab with one consumer-facing product, is a bet on where AI is headed, not a valuation grounded in current earnings. Shareholders in an all-stock deal are the ones absorbing that bet, since dilution comes out of their pockets, not AMD's cash reserves. Nobody in these sources disputes that world models could be a dead end if robotics and physical AI don't scale the way Tesla and Figure are promising.
