Tata Group Launches €3.82 Billion Bid for Iveco While Sister Company Signs $1.5 Billion Porsche AI Deal

Tata Group Launches €3.82 Billion Bid for Iveco While Sister Company Signs $1.5 Billion Porsche AI Deal
Tata Motors opened a tender offer to buy Italy's Iveco Group for €3.82 billion, with Iveco's board and top shareholder Exor already on board. Days earlier, Tata Consultancy Services signed a five-year, $1.5 billion AI partnership with Porsche that includes buying Porsche's IT consulting arm MHP. Two Tata Group companies, two continents, one clear signal: Indian capital is buying into European industry at scale.

Tata Motors filed a formal tender offer on September 4, 2026, to acquire all outstanding shares of Iveco Group, the Turin-based commercial vehicle maker, according to a joint announcement by the two companies reported by Morningstar. The all-cash offer is priced at €14.10 per common share on a cum-dividend basis, valuing Iveco at approximately €3.82 billion.

The deal is being executed through TML CV Holdings B.V., a Dutch subsidiary of Tata Motors. The shareholder acceptance window runs from September 7 through October 26, 2026, according to Outlook Business and Times Now. Italy's market regulator, Consob, has already approved the offer document, clearing the path for shareholders to actually tender their stock.

Iveco's board unanimously recommended the deal to shareholders. Exor N.V., Iveco's largest shareholder and the Agnelli family's holding company, has irrevocably committed to tender its 27.06% stake, representing 43.19% of total voting rights.

How the squeeze-out actually works

Tata needs 95% of common shares to trigger a Dutch Legal Squeeze-Out and fully delist Iveco from Euronext Milan. That threshold drops to 80% if shareholders approve a "Back-End Resolution" at an Extraordinary General Meeting scheduled for October 16, 2026. If Tata clears 80% but not 95%, the company intends to pursue a post-offer demerger and liquidation instead. Payment to shareholders who tender is projected for October 30, 2026, according to Angel One.

All the regulatory boxes are checked. Competition clearances, foreign direct investment approvals, and Foreign Subsidies Regulation sign-off are done, per Times Now and Outlook Business. Financing comes from a committed bridge facility of up to €3.825 billion, arranged with Morgan Stanley Bank, Morgan Stanley Senior Funding, and MUFG Bank.

On jobs, the sourcing gets less precise. Angel One reported "no projected workforce reductions for 2 years." Morningstar and other outlets described it more loosely, quoting the companies saying they don't "envisage any reduction of the workforce of Iveco Group as a direct consequence of the combination," without naming a specific time horizon. A two-year guarantee and an open-ended corporate assurance are not the same commitment, and readers should treat the vaguer version as the operative one until a firmer number surfaces.

The combined company would sell more than 590,000 vehicles a year and generate roughly €21 billion in annual revenue, Tata Motors CEO Girish Wagh said. "By combining our respective strengths, capabilities and market presence, we have the opportunity to build a stronger, more globally competitive commercial vehicle business," Wagh said. Iveco CEO Olof Persson called it a chance to "create a major new force in global commercial vehicles." Iveco's brands include FPT, Iveco Bus, and finance arm Iveco Capital. Headquarters stay in Turin.

Meanwhile, Porsche hands its IT arm to TCS

A separate Tata Group company, Tata Consultancy Services, signed a five-year AI partnership with Porsche valued at nearly $1.5 billion, CNBC reported and Breitbart News summarized. TCS will build a dedicated hub to run AI deployment across Porsche's operations, and as part of the same package, TCS will buy Porsche's IT consulting subsidiary MHP for €320 million. MHP employs roughly 4,500 people. The AI partnership only kicks in once the MHP purchase closes.

Porsche CEO Michael Leiters said the tie-up combines "automotive expertise with TCS's digital and AI capabilities." TCS chief executive K. Krithivasan said the goal is to "industrialize AI at scale for Porsche." The MHP sale is part of Porsche's cost-cutting plan, dubbed Sportwagenschmiede 35, which Leiters described last month as "firmly aligning our company with our core business" after Porsche's electric Taycan sales fell 49% in 2024.

For TCS, the deal lands during a rough stretch for Indian IT stocks. The Nifty IT index is down nearly 20% since the start of 2026, against a roughly 7% decline for the broader Nifty 50. TCS's annualized AI revenue hit $2.6 billion in the June quarter, up 13.6% from the prior quarter, giving the company a growth story to point to while its stock lags.

Scale and timing

Two Tata Group companies just committed close to $6 billion combined to European industrial and engineering assets in a matter of days. The pattern is clear: an Indian conglomerate with deep balance sheets moving into sectors, commercial trucks and automotive software, where European incumbents need capital and scale. Iveco's own board and its controlling shareholder agreed the price was fair enough to back publicly, and no government on either side has objected.

The open question is whether Tata clears the 95% threshold outright or has to fall back on the 80% demerger route, a decision that depends on how Iveco's remaining minority shareholders vote at the October 16 EGM. That vote, not the press releases, will determine whether this becomes a full takeover or a partial one with a messier corporate structure attached.
