Jio filed its draft papers back in June, so this approval closes a roughly two-month review window.

Jio Platforms is structuring this as a pure primary issue: 27 crore new equity shares, face value Rs 10 each, with zero offer-for-sale component. No existing shareholder, not Reliance, not Meta, not Google, is cashing out. Every rupee raised goes into the company's coffers, not into anyone's pocket. Dilution comes out to about 2.9% of post-issue equity, according to Moneycontrol and Economic Times, just above the minimum public float SEBI now allows for companies valued above Rs 5 lakh crore.

Where the money's actually going

According to Moneycontrol's reporting, Jio plans to use up to Rs 27,500 crore of net proceeds to prepay or repay outstanding borrowings at Reliance Jio Infocomm, the operating telecom subsidiary. The remainder goes to general corporate purposes. This is a debt-reduction play dressed up as a landmark listing. Reliance said as much in its own exchange filing: proceeds will fund "repayment or prepayment, in full or in part, of certain outstanding borrowings."

Valuation estimates cluster in the $130-137 billion range. LiveMint cites Morgan Stanley and Citi Research pegging Jio Platforms near $133 billion, roughly 13 times its projected FY27 EBITDA. The investor roster is already stacked

Reliance currently holds 66.43% of Jio Platforms. Meta Platforms owns roughly 9.98-9.99% through its Jaadhu Holdings affiliate, and Google holds 7.73%, based on figures from LiveMint and Rediff. Both bought in back in 2020, when Meta paid Rs 43,574 crore and Google paid Rs 33,737 crore for their respective stakes. A long list of private equity and sovereign funds also hold pieces: KKR and Vista Equity Partners at 2.31% each, Silver Lake at 1.88%, Mubadala at 1.85%, General Atlantic at 1.34%, plus Saudi Arabia's Public Investment Fund, ADIA, TPG, L Catterton, Intel Capital and Qualcomm Ventures, according to Rediff's account of the 2020 fundraising round that brought in about Rs 74,745 crore for roughly 15.2% combined.

LiveMint reported that an unnamed person familiar with the matter said Jio can now "formally begin marketing the offer, with management directly getting involved," and that early conversations point to "strong demand from global investors, including sovereign and pension funds." That person also told LiveMint the company is targeting a listing within the next couple of months. None of that is confirmed by Reliance directly. A company spokesperson did not respond to LiveMint's queries.

Context that matters: India's IPO market has been sluggish

The Hindu's coverage adds a detail the other outlets skip past. India's IPO market has been thin through most of 2026, with few new listings before July and issuers trimming offer sizes to guarantee successful debuts. The Hindu frames the Jio and NSE listings as potential catalysts to reverse that trend, not just standalone mega-deals. What's still unresolved

SEBI's observation letter is not a green light to list tomorrow. Companies have 12 months to launch after receiving it, per Times of India, or they have to seek fresh approval. No price band, prospectus filing date, or subscription window has been announced yet. Ambani first floated the idea of taking Jio Platforms public back in 2019, and Briefs.co notes he told shareholders at last year's annual general meeting that mid-2026 was the target. That timeline has already slipped by at least two months, and the actual listing date remains open. The next concrete marker to watch is whether Jio files its final prospectus and price band, expected as early as next week according to LiveMint's sourcing, which would set the clock running toward an actual listing.
