Jio Platforms Set to Start Investor Roadshow Next Week for India's Largest-Ever IPO

Jio Platforms Set to Start Investor Roadshow Next Week for India's Largest-Ever IPO
Since filing its draft IPO papers in June and getting SEBI approval on August 28, Mukesh Ambani's Jio Platforms is now finalizing a roughly $4 billion listing timed to India's Navratri-Diwali festival window. Investor roadshows across the US, Singapore, Hong Kong, London and the Middle East could start as early as next week, with a November target date.

Since Jio Platforms filed its draft IPO papers in June and won approval from India's Securities and Exchange Board on August 28, the company has moved from paperwork to pitch mode. Bloomberg reported that Jio plans to formally kick off investor outreach as early as next week, with meetings scheduled across the US, Singapore, Hong Kong, London and the Middle East.

The target: a November listing that could become India's largest-ever IPO.

According to a report by The Economic Times, cited by both LiveMint and News24 Online, Jio Platforms is actually eyeing an earlier window tied to the Navratri festival, which runs October 11 through Dussehra on October 20. If that timeline slips, the company has a backup plan. Dhanteras on November 6 and Diwali on November 8 offer a second festive window for the launch. The Economic Times report said Jio expects to finalize exact dates within the next couple of weeks, then run roughly three weeks of international roadshows followed by two weeks of domestic investor meetings.

The Numbers

Jio Platforms, the digital and telecom arm of Mukesh Ambani's Reliance Industries, is targeting an issue size of up to Rs 37,700 crore, which converts to roughly $3.8 to $4 billion, according to telecomtalk.info. The company plans a fresh issue of 27 crore equity shares, equal to about 2.9% of its post-issue share capital, per its draft red herring prospectus as reported by LiveMint.

There is no offer-for-sale component. Every rupee raised is new capital, not existing shareholders cashing out. TelecomTalk reported this was a deliberate call by Ambani to protect retail investors from being diluted by insider selling on day one.

A price band has not been set. TelecomTalk noted Reliance has historically kept IPO pricing accessible for retail buyers, pointing to how the company handled the earlier Jio Financial Services listing as a template.

Where the money goes

Majority of proceeds are earmarked for debt. News24 Online reported Jio Platforms could use up to Rs 27,500 crore to prepay loans held by its operating subsidiary, Reliance Jio Infocomm, funneled down through equity, preference shares, debentures or loans. The remainder is slated for general corporate purposes, with TelecomTalk adding that growth areas like AI, 5G and cloud data center expansion are also on the list.

Who's already in

Jio Platforms isn't starting from zero on investor backing. News24 Online and LiveMint reported that major global investors already hold nearly 30.9% of the company: Meta-linked Jaadhu Holdings owns 9.98%, Google International holds 7.73%, and the cap table also includes Saudi Arabia's Public Investment Fund, Silver Lake, Vista Equity Partners, General Atlantic, KKR-linked entities and vehicles tied to the Abu Dhabi Investment Authority.

Silicon Valley and sovereign-wealth money comprise much of the backer list, not a speculative retail play built from scratch. It also means much of the IPO road show will be about giving those existing strategic investors, and new ones, a public market valuation and exit liquidity, not just raising fresh cash for Reliance.

A crowded calendar

Jio isn't launching into an empty market. India Today reported that 12 separate companies are opening IPOs this week alone, between September 7 and September 11, together looking to raise Rs 7,179.84 crore. That includes Pranav Constructions, Glass Wall Systems and Prasol Chemicals, among others.

India Today also flagged that Jio's issue will land close to another giant: the National Stock Exchange's own proposed listing, estimated at roughly Rs 30,000 crore. Between NSE and Jio, India's primary market is bracing for two of its largest capital raises in the same stretch of months.

What's still unresolved

The price band, the exact listing date, and whether Navratri or Diwali wins out as the launch window are all still undecided, according to The Economic Times reporting relayed by LiveMint and News24. Jio Platforms has not issued its own public statement confirming a firm date. Until the roadshow actually begins and a red herring prospectus with pricing details is filed, the November timeline remains a target, not a lock.
