On Saturday, HDFC Bank told stock exchanges it had sent the Reserve Bank of India two candidates, ranked in order of preference, for the combined Managing Director and CEO role, according to an exchange filing cited by LiveMint, The Hindu and The New Indian Express. The filing included proposed three-year compensation packages for each candidate. The names themselves were not disclosed.

The move sets a formal succession process in motion with just weeks to spare. Current MD and CEO Sashidhar Jagdishan, 61, announced on August 29 that he would not seek a third term. His current tenure ends October 26, according to The New Indian Express and Rediff.

Who's on the list

The filing didn't name names, but reporting has narrowed the field. Deputy Managing Director Kaizad M. Bharucha, a 30-year HDFC Bank veteran who joined the board in 2014, is widely described as the leading internal contender by both Times of India and The Hindu. He has run corporate banking, wholesale credit, retail assets and the mortgage business.

Outside names circulating in financial circles, according to Times of India and Briefs.co citing CNBC-TV18, include former State Bank of India chairman Dinesh Khara, Citi India head K. Balasubramanian, ICICI Prudential Life CEO Anup Bagchi, former HDFC Bank Deputy MD Paresh Sukthankar, and Axis Bank CEO Amitabh Chaudhry. None of these have been confirmed as the two names actually sent to the RBI.

Under Indian banking law, private lenders cannot install a new MD-CEO without RBI sign-off. The central bank vets nominees against its "fit and proper" criteria before approving a selection, as LiveMint and TradingView both note. That review is now the bottleneck standing between HDFC Bank and a confirmed successor.

A board reshuffle alongside the CEO search

The bank didn't stop at the top job. The board also elevated chief credit officer Jimmy Tata to whole-time director, designated executive director, for three years pending RBI approval. It reappointed V. Srinivasa Rangan as executive director for one year starting November 23, 2026. And it approved creating a fourth whole-time director seat, on top of the incoming MD-CEO, to be filled later in consultation with whoever gets the top job.

The Hindu quoted the bank's filing saying the expanded board is meant for "sharper synergy and oversight," including over subsidiaries like HDFC Life, HDFC AMC and HDFC ERGO, and to build a "larger pipeline for succession planning."

The mess that got HDFC Bank here

Jagdishan took over from Aditya Puri in October 2020 and steered the bank through its 2023 merger with parent Housing Development Finance Corporation, a deal that expanded the balance sheet but also compressed net interest margins, per LiveMint. He was reappointed to a second three-year term in October 2023 and had publicly said he wanted to keep going, a view many analysts shared, according to Briefs.co.

Then things got messy. Non-executive chairman Atanu Chakraborty resigned abruptly in March 2026, citing concerns over values and ethics, per Rediff. In July, the board found shortcomings in deposit arrangements tied to the Maharashtra State Road Development Corporation and fined Jagdishan and other executives ₹1 lakh each, according to LiveMint. The New Indian Express also reported the bank faced mis-selling charges related to bonds.

The New Indian Express reported that external legal reviews later found Chakraborty's original governance concerns "were not substantiated by the records and interviews examined." That doesn't erase the months of uncertainty the resignation triggered, but it does complicate the narrative that Jagdishan's exit was forced by proven wrongdoing. No regulator has filed charges against Jagdishan, and the ₹1 lakh fine, roughly $1,200, was a governance sanction rather than a criminal or regulatory enforcement action.

Moody's Ratings flagged the transition itself as a risk on August 31. Moody's AVP Devang Rajkotia said, per PTI as quoted by LiveMint, that leadership changes at systemically important banks can create "uncertainty around strategy execution and risk management," but added that HDFC Bank's "strong franchise, deep senior management bench" and financial profile mitigate that risk. He said an orderly succession and continuity in strategy execution "will be key to sustaining stakeholder confidence."

What's still open

HDFC Bank's American Depositary Shares closed 6.9% higher on the NYSE on Friday, September 11, according to Times of India, a day before Saturday's filing was made. That move cannot be attributed to Saturday's announcement, and no source ties it to any specific catalyst.

The central bank has roughly six weeks to vet two candidates against its fit-and-proper standard before Jagdishan's October 26 exit. Neither the bank nor the RBI has said what happens if that review isn't finished in time. Whether Bharucha, an outside hire, or someone else entirely gets the nod remains entirely in the RBI's hands.
