The board tried to talk him out of it. He said no again.

Jagdishan had indicated as recently as March that he was open to a third term, according to Ishank Gupta, a banking analyst at Choice Broking, quoted by NDTV Profit. Gupta said the flip matters more than the exit itself: "Leadership uncertainty of this nature has historically attracted a valuation discount at Indian banks until a successor is confirmed, and the counterparty on the other side of that adjustment is usually the incumbent shareholder."

The Stock Went Up, Not Down

HDFC Bank shares climbed roughly 2.5% to 3% in Monday trading, hitting Rs 733.85 on the BSE according to Business Standard and Rs 739.50 according to Rediff Money's PTI report, even as the broader market slid. The Sensex dropped 464 points and the Nifty fell 174 points the same morning, per Rediff. CNBC reported the stock rose as much as 2.5% before paring some gains.

Most analysts expected a decline. G Chokkalingam, founder of Equinomics Research, told NDTV Profit he anticipated a 2-3% knee-jerk drop. Deepak Bangur of 360 ONE Capital called the exit a straight negative, citing ongoing corporate governance concerns, legal issues and management continuity questions. The stock moved in the opposite direction on day one, though Monday's rally doesn't settle the debate over whether the exit is good or bad for the bank.

A Rough Year Before This

Jagdishan's exit is the second leadership shake-up at HDFC Bank this year. Part-time chairman Atanu Chakraborty resigned in March, citing concerns over "values and ethics" at the bank, according to Times of India. A subsequent legal review commissioned by HDFC Bank found no basis for those allegations, Business Standard reported.

In July, the bank's board fined Jagdishan, CFO Srinivasan Vaidyanathan and the head of its retail assets group Rs 1 lakh each over what it called "business overreach" in obtaining bulk deposits from the Maharashtra State Road Development Corporation. Business Standard reported the internal review found no mala fide action or personal enrichment. Separately, Times of India reported the bank fired three senior executives over irregularities in the sale of high-risk Credit Suisse bonds to non-residents between 2019 and 2022.

Jagdishan gave his own account of the decision in an interview with NDTV Profit, describing it as the "best time to resign" after nearly three decades at the bank, six of them as CEO. He took over from banking legend Aditya Puri in October 2020 and oversaw the roughly $40 billion merger with mortgage giant HDFC Ltd, completed in 2023, which CNBC noted has yet to deliver its full synergies.

A Regulatory Clock Nobody Talks About

Open Magazine reported that Reserve Bank of India guidelines require bank boards to submit a CEO reappointment or succession proposal at least six months before a term ends. That window closed in April 2026. By July, the board had reportedly not yet forwarded a recommendation, still waiting on the MSRDC review to conclude. That leaves the bank with roughly 58 days as of Jagdishan's announcement to pick a new chief executive and get RBI sign-off, a process Business Standard noted always requires regulatory approval for private-sector bank CEOs.

The frontrunner is deputy managing director Kaizad Bharucha, who oversees retail and wholesale banking, according to Citi and Jefferies reports cited by CNBC. Other names in the mix per Jefferies: Anup Bagchi of ICICI Prudential Life, former HDFC Bank deputy MD Paresh Sukthankar, HDFC Life CEO Vibha Padalkar, and Axis Bank CEO Amitabh Chaudhry.

What Wall Street Wants Next

Nomura called a credible successor a potential "rerating catalyst" in a Sunday report, but warned the stock will stay under pressure until there's clarity. Citi said the new CEO needs to show a credible path to lift net interest margins and return on assets. Jefferies kept its buy rating, arguing the risk-reward is now balanced at 1.5 times price-to-book after a stock that's fallen 25.76% to 27% in 2026 against an 8% drop for the Nifty 50, per LSEG data cited by CNBC.

HDFC Bank reported Q1 FY27 standalone net profit of Rs 19,059.72 crore, up 4.98% year-over-year, even as total income fell 7.08% to Rs 92,184.38 crore, according to Business Standard. The bank's board says it will move fast. Whether it can find, vet and get RBI approval for a permanent successor before October 26 is the open question hanging over India's biggest private bank.
