Barclays Says Tesla-SpaceX Merger Could Be Announced Before Tesla's December Annual Meeting

Barclays Says Tesla-SpaceX Merger Could Be Announced Before Tesla's December Annual Meeting
Barclays analysts said today, Oct. 14, that a Tesla-SpaceX merger announcement could come before Tesla's annual meeting, due by Dec. 6, with SpaceX buying Tesla in an all-stock deal as the likeliest structure. Neither company has confirmed talks. The note is a forecast, and the unanswered question is how Tesla's public shareholders would be treated when Musk's voting control is far larger at SpaceX.

Barclays put a date range on Wall Street's favorite Elon Musk parlor game on Wednesday. In a research note, the bank said a Tesla-SpaceX merger could be announced before Tesla's 2026 annual general meeting at the earliest.

Neither company has confirmed talks. Barclays is an outside analyst, not a party to any deal, so the note is a forecast, not a disclosure.

The timeline Barclays laid out

Barclays said Tesla must hold its annual meeting no later than Dec. 6. A deal could still be announced in late October or early November, the bank said, but that would increasingly complicate shareholder approval at the meeting itself.

The alternative is an announcement separate from the meeting, which makes the timing unclear. Even then, Barclays said, it expects one within the next 6 to 12 months so a deal could close during the Trump administration.

One market tracking the question prices roughly a 25% chance of an announcement by Dec. 31 and 61.5% by the end of 2027.

How the deal would work

Barclays called the most likely structure an all-stock acquisition of Tesla by SpaceX, with Tesla holders receiving SpaceX shares.

The bank used market capitalizations of roughly $2.1 trillion for SpaceX and $1.5 trillion for Tesla. On those figures it estimated about 0.7 SpaceX shares per Tesla share, though it expects Tesla holders to get a premium.

The bank argues SpaceX's dual-class structure makes it the better acquirer. Musk holds about 48% of SpaceX and roughly 82% of its voting power. Barclays calculates he would own about 37% of a combined company while keeping roughly 56% of the votes.

Barclays also noted that Musk has long said he wants roughly 25% ownership of Tesla to feel "influential" enough to pursue AI and robotics. A merger would serve that ambition, the analysts wrote.

The business case

Barclays pitched the logic as operational, not financial. "While we suspect there would be some financial synergies, the true value would be in vertical integration," the analysts wrote.

The idea is to pair Tesla's physical AI work, Robotaxi and Optimus, with SpaceX's software-side AI assets such as Grok and Macrohard. The bank also pointed to the joint Terafab chip plant and SpaceX's planned space data centers.

Barclays called Terafab a key catalyst. Separate board processes slow decisions today, it said, and a merger would remove that friction. The bank said boards are unlikely to block a deal.

The two companies already work together. Tesla supplies batteries and manufacturing technology to some SpaceX projects, and the two are jointly developing Terafab.

What Musk has said

On Tesla's July earnings call, Musk declined to rule out a combination, citing the growing overlap between the companies. He said any such move would have to go through the appropriate process, not be discussed on an earnings call.

SpaceX is now a public company. It began trading on Nasdaq as SPCX on June 12 after pricing shares at $135, raising about $75 billion in the largest IPO on record. That valued it at close to $1.8 trillion. In February, SpaceX absorbed Musk's AI company xAI in a deal valuing the combined group at about $1.25 trillion.

Other analysts, and the obstacles

Barclays is not alone. JPMorgan said in July that operational integration was already deep, pointing to shared engineering talent and AI infrastructure. Stifel said many investors regard a combination as a question of timing, not whether it happens.

JPMorgan also flagged problems. It called regulatory approval a practical bottleneck, particularly in China, where SpaceX's ties to the U.S. government could raise national security concerns for a merged group selling cars there.

Governance is the other sticking point. Musk's voting stake is far larger at SpaceX than at Tesla, which raises questions about how Tesla's public shareholders would be treated. Barclays said both sets of shareholders would likely need to approve a deal.

The note says nothing about the price Tesla holders would accept, and no board has said it is weighing one. The 0.7 ratio is Barclays' arithmetic from current market values, not a term anyone has offered.

What to watch

Tesla's annual meeting must be held by Dec. 6, and that date anchors Barclays' window. A formal deal would show up as a joint announcement or an SEC filing from either company. Any statement from Musk or the boards that clarifies or rejects the idea would settle the near-term question.
